1. Introduction
This Data Processing Agreement (“Agreement”) applies to Eagle Performance Academy’s processing of personal data on behalf of its users and customers in connection with the services provided by Eagle Performance Academy.

2. Definitions

• “Data Controller” refers to the entity which determines the purposes and means of the processing of personal data.
• “Data Processor” refers to the entity which processes personal data on behalf of the Data Controller.
• “Personal Data” means any information relating to an identified or identifiable natural person.

3. Processing of Personal Data

• Purpose of Processing: The Data Processor shall only process Personal Data for the purpose of providing, improving, and supporting the services as specified in the service agreement and not for any other purpose.
• Data Controller’s Obligations: The Data Controller is responsible for ensuring that the data subjects’ rights are respected, including their rights of access, correction, deletion, and data portability.

4. Rights of Data Subjects
Eagle Performance Academy, as a Data Processor, shall assist the Data Controller in facilitating the data subjects’ rights and comply with any reasonable request to facilitate the exercise of data subject rights under the applicable data protection laws.

5. Confidentiality
All personal data processed by Eagle Performance Academy on behalf of the Data Controller is considered confidential information and will be kept confidential by Eagle Performance Academy and its employees, agents, and subcontractors.

6. Data Security
Eagle Performance Academy shall implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk of the data processing activities.

7. Data Breaches
In the event of a personal data breach, Eagle Performance Academy shall promptly notify the Data Controller and provide necessary cooperation to mitigate any potential harm.

8. Subprocessing
Eagle Performance Academy shall not engage any third-party processors without the prior written consent of the Data Controller. Where third-party processors are engaged, Eagle Performance Academy shall ensure they are bound by data protection obligations compatible with this Agreement.

9. Data Transfer
The Data Processor shall not transfer personal data to a third country or international organization unless adequate precautions are taken to ensure data protection.

10. Termination
Upon termination of the service agreement, Eagle Performance Academy shall, at the choice of the Data Controller, delete or return all personal data to the Data Controller, unless there is a requirement to store the data under applicable law.

11. Audits and Inspections
The Data Processor shall make available to the Data Controller all information necessary to demonstrate compliance with this Agreement and allow for audits conducted by the Data Controller or an auditor mandated by the Data Controller.

12. Amendments
This Agreement may be amended or updated from time to time to reflect changes in the law or the service.

13. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction].
